General terms of sale for professional B2B customers.
B2B agreement
These terms govern the commercial relationship between Provei Global S.L. and its professional customers in the supply of products for the residential care, healthcare, pharmacy and education sectors.
02 Purpose and scope
These General Terms of Sale govern the commercial relationship between Provei Global S.L. and its professional (B2B) customers in the sale and supply of hygiene products, personal care products and consumables for the residential care, healthcare, pharmacy and education sectors.
03 Orders
- Orders are confirmed in writing (email, web or EDI) after validation of stock and the customer's credit.
- Minimum order, delivery times and logistics conditions are specified in each confirmation.
- Provei Global reserves the right to refuse orders on justified grounds.
04 Prices and payment
- Prices quoted are net, in euros, excluding VAT and carriage unless expressly agreed otherwise.
- Invoices are issued when the order is dispatched. The agreed payment terms appear on each invoice.
- Failure to pay within the agreed period will accrue late-payment interest in accordance with Spanish Law 3/2004 on combating late payment.
05 Delivery
- The usual delivery time is 24 to 72 working hours from order confirmation for mainland Spain.
- Risk passes to the customer upon delivery at the agreed location.
- Any incident, shortage or damage must be reported within 48 hours of receipt to info@proveiglobal.com.
06 Returns
Returns are only accepted for products in perfect condition, in their unopened original packaging, within 14 calendar days of delivery, subject to prior written authorisation from Provei Global.
07 Warranty
Products comply with the European regulations applicable to hygiene and personal care products. The warranty covers manufacturing defects and is governed by the legal conditions in force (Spanish Royal Legislative Decree 1/2007).
08 Liability
Provei Global is liable only for the value of the products supplied. No liability is accepted for loss of profit, indirect damages or third-party claims arising from the customer's use of the products.
09 Intellectual property
All trademarks, logos, technical data sheets and graphic materials of the brands marketed are the property of their respective owners. Their use by the customer requires express authorisation.
10 Data protection
The processing of personal data is governed by our Privacy Policy. The data controller is Provei Global S.L.
11 Governing law and jurisdiction
These terms are governed by Spanish law. The parties submit to the courts of Santa Cruz de Tenerife (Spain), unless mandatory rules provide otherwise.
